Acceptance and Legally Binding Effect of Platform Access Agreement (“PAA”): 

By accepting this PAA or by accessing or using any portion of GoContract.com Properties, you acknowledge that you have read, understood, and agree to be legally bound by this PAA in its entirety. 

PAA Updates: 

GoContract.com reserves the right, at its sole discretion, to change or modify portions of the PAA at any time. Changes will be posted on the platform and the date of the latest revision indicated. It is your responsibility to review the PAA periodically. Continued use after changes become effective constitutes acceptance of the revised PAA. 

Platform Description, Purpose, and Related Properties: 

GoContract.com offers an online marketplace for hiring independent contractors, supplemented by services like GoCommunity and GoPayroll. This agreement covers the use of the GoContract.com website, the technology platform, and all related services (“GoContract.com Properties”). The platform enables clients and contractors to connect, engage, and manage payment processes. It’s specified that using the platform does not obligate GoContract.com to provide any services beyond facilitating connections. 

Use of GoContract.com Proprietary Information; Confidentiality: 

You must keep confidential all business, technical, or financial information obtained from GoContract.com and only use it for platform-related purposes. Information required by law to be disclosed must be done so with prior notice to GoContract.com. 

Authorization, Use Restrictions: 

You are authorized to use GoContract.com Properties solely for intended purposes, adhering to the guidelines provided. Misuse or unauthorized access is prohibited. 

Ownership and Additional Restrictions: 

All rights to GoContract.com Properties remain with GoContract.com. Unauthorized use, duplication, or access is strictly prohibited. 

Use of Intellectual Property: 

User-generated content is licensed to GoContract.com under a broad, worldwide license for platform-related use. GoContract.com reserves the right to oversee and control this content as necessary. 

Representations and Warranties: 

You affirm that your use of GoContract.com will not infringe on any rights and will comply with all relevant laws and regulations. Additionally, you confirm compliance with global sanction laws and are not located in a prohibited region. 

Termination of Access and PAA: 

GoContract.com reserves the right to terminate your access for violations of this agreement or other related policies. 

No Warranties and Disclaimer by GoContract.com: 

GoContract.com Properties are provided “as is” without any warranties. The platform does not guarantee uninterrupted or error-free service. 

Limited Liability: 

GoContract.com’s liability to you is strictly limited under this agreement, excluding any incidental, consequential, or indirect damages. 

Dispute Resolution; Jury Waiver: 

Disputes under this agreement will be governed by laws applicable in UK & Ireland, Califonia, Delaware, USA, and EU, with agreed-upon jurisdiction and waiver of jury trial. 

Miscellaneous: 

This PAA, together with GoContract.com’s Privacy Policy, constitutes the entire agreement between the parties. Specific terms for services like GoCommunity and GoPayroll may additionally govern those services. 

Applicable Agreements: 

Your use of GoContract.com Properties is governed by this PAA. Any additional services engaged through the platform will be governed by separate agreements.
